I'm picking up a couple clearance MVP's from radio shack today, but they are the 34 button remote; what do I lose by not having the 45 button remotes?

You're not losing much. The 34 button remote is still good. Admittedly I have a slight preference for the 45 button remote. It has separate channel and volume keys, instead of sharing with up/down/left/right, and has a few short cut keys to take you directly to live tv, tv guide etc. Is also a little larger and more ergonomic.

One thing I like about the 34button one is the location of the 4 colored buttons. But other than that, I like the 43.

Well worth the loss of a few buttons to get a fully functioning MVP at $39. My first MVP came with the 45-button remote, and my recent Radio Shack clearance MVPs came with the 34-button remotes. I'm finding that I didn't use the missing buttons all that much. About the only ones I did use was the separate channel and volume buttons, but like Sub said they are still present on the 34-button remote -- they're just in a shared position.
