I deleted C:\windows\system32\prefetch\divxsm.exe*

I renamed C:\windows\system32\divxsm.* to divxsm_JUNK.*

Problem solved.

divxsm.exe is the tray icon. Nuke the EXE & DivX can't load it anymore.
